Projects generally require an upfront deposit before work begins. Remaining balances may be billed by milestone, monthly retainer, delivery stage, or final handover, depending on the accepted project terms.
Invoices are due according to the invoice or written agreement. Late, missed, reversed, or disputed payments may pause work, delay delivery, suspend access, or prevent final handover until resolved.
Reasonable revisions are included only when they are part of the accepted scope. Revisions that change the approved direction, add features, alter core functionality, or require substantial rework may be treated as billable change requests.
Projects may rely on third-party services such as hosting providers, domain registrars, payment processors, analytics tools, email platforms, APIs, plugins, libraries, or SaaS platforms. Eper Gaboni is not responsible for outages, policy changes, pricing changes, security incidents, or limitations caused by third-party services.
Unless a written agreement says otherwise, after full payment is received, the client receives ownership of the final custom deliverables created specifically for that project.
Eper Gaboni retains ownership of pre-existing code, reusable tools, templates, workflows, methods, know-how, development processes, internal systems, and general skills used to produce the work. Third-party materials remain subject to their own licenses.
Unless restricted by a written confidentiality agreement, Eper Gaboni may reference completed work, project names, public websites, screenshots, and general project descriptions in a portfolio, case study, resume, proposal, or professional profile.
Non-public business, technical, financial, or project information shared for an engagement will be handled with reasonable care and used only for the project or related business communication. Confidentiality obligations do not apply to information that is public, independently developed, lawfully obtained from another source, or required to be disclosed by law.
Eper Gaboni works to provide professional engineering and product services, but does not guarantee specific business outcomes, search rankings, revenue, conversion rates, funding, approval by third-party platforms, or uninterrupted performance of third-party systems.
The website and services are provided with reasonable professional care. Except where expressly stated in writing, services and deliverables are provided without warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, or error-free operation.
To the fullest extent permitted by law, Eper Gaboni will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost data, business interruption, or loss of goodwill.
To the fullest extent permitted by law, total liability for any claim related to the website or services is limited to the amount actually paid by the client for the specific service giving rise to the claim during the three months before the claim arose.
You agree to defend, indemnify, and hold harmless Eper Gaboni from claims, damages, losses, liabilities, costs, and expenses arising from your content, your instructions, your misuse of the website or services, your violation of these terms, or your violation of another party's rights.
Either party may end a project according to the accepted proposal, statement of work, or written agreement. If no specific termination terms apply, the client remains responsible for payment for completed work, committed time, approved expenses, and non-refundable third-party costs incurred before termination.
Before starting a formal dispute, both parties agree to make a good-faith effort to resolve the issue by email. The governing law and dispute venue should be stated in the accepted proposal or written agreement. If no agreement specifies them, disputes will be handled under the laws and courts applicable to the provider's business location, unless mandatory consumer or local laws require otherwise.
